Experience

Brendan Chatham joined HBC in 2000. Prior to joining the firm, he represented locally-based companies, Leasetec Corporation and Schwinn Cycling & Fitness Inc. on an in-house counsel basis. His practice generally entails acting as "virtual" general counsel to entrepreneurs and small established and emerging companies in a wide variety of businesses and industries, including "green" and clean energy, equipment finance, hardware and software technology, professional services, health care, real estate investment and development, manufacturing and retail industries.

Description of Brendan's Virtual General Counsel Role

Specifically, Brendan focuses on providing practical, but state of the art legal representation for his clients in the following areas:

  • Company structuring, formation and governance and analysis of income tax considerations related to company structuring
  • Memorializing co-investor and co-ownership relationships in organizational documentation such as articles of incorporation, bylaws, stockholder agreements, operating agreements, partnership agreements, joint venture agreements
  • Venture financing transactions, including private offerings, angel investments and convertible debt financings
  • Equity purchase and sale, asset purchase and sale, mergers, liquidation and other acquisition transactions
  • Asset-based financing transactions, including:
    • "green" and clean energy project finance
    • equipment leasing
    • inventory financing
    • special asset (such as aircraft, vessel and railcars) financing
    • vendor-related programmatic financing transactions and joint ventures
    • syndication and securitization transactions involving secured asset
    • portfolios comprised of equipment lease and secured transactions
  • Technology development, protection, licensing and transfer transactions
  • Memorializing employee-employer relationships in employment, intellectual property rights assignment, non-disclosure, non-solicitation and non-compete agreements
  • Real estate acquisition, investment, finance, development, construction and leasing transactions
  • General business transactions, including:
    • manufacturing and distribution agreements
    • franchise acquisitions and financing
    • strategic alliances
    • joint ventures
    • consulting, independent contractor and subcontractor agreements
  • Resolving commercial and finance collection matters through workouts and payment restructuring
